SplitMyGear User and Vendor Agreement This Agreement (“Agreement”) is made and entered into as of the date you click “I Agree” below, by and between SplitMyGear, a Minnesota LLC, and the user identified in the registration information provided (“User”). This Agreement governs your use of the SplitMyGear online platform (the “Platform”) whether as a vendor of recreational equipment (“Equipment”) (“Vendor”) or a renter of such Equipment (“Renter”). WHEREAS, SplitMyGear operates the Platform to connect Renters with Vendors; and WHEREAS, User desires to use the Platform either to list and rent Equipment (as a Vendor) or to rent Equipment (as a Renter); NOW, THEREFORE, in consideration of the mutual covenants and agreements contained herein, the parties agree as follows: 1. Use of the Platform 1.1 Vendors: Vendor grants SplitMyGear a non-exclusive, royalty-free license to list Vendor’s Equipment on the Platform. Vendor shall provide accurate and complete information regarding the Equipment, including descriptions, photographs, rental rates, and availability. Vendor retains the right to list and rent their Equipment through other channels, including their own website. 1.2 Vendors: Vendor shall be responsible for maintaining the accuracy and availability of the Equipment listed on the Platform. 1.3 SplitMyGear reserves the right to remove any Equipment listing or User account from the Platform at its sole discretion, including but not limited to listings or accounts that violate this Agreement or are deemed inappropriate or inaccurate. 2. Rental Transactions 2.1 Renters will be able to book Equipment through the Platform. SplitMyGear will process payments from Renters and remit the rental fees to Vendor, less SplitMyGear’s commission as specified in Exhibit A below. 2.2 Vendors: Vendor shall be responsible for all aspects of the rental transaction, including but not limited to: * Confirming rental bookings. * Communicating with Renters regarding pickup and drop-off of Equipment. * Providing all necessary instructions and safety information to Renters. * Maintaining and repairing the Equipment. * Handling any disputes or issues arising from the rental transaction. 2.3 Vendors: Vendor shall ensure that all Renters execute Vendor’s standard rental agreement and liability waiver prior to taking possession of the Equipment. 3. Commission and Fees 3.1 SplitMyGear shall be entitled to a commission on each rental transaction as specified in Exhibit A below. 3.2 Vendors: Vendor shall be responsible for all applicable taxes and fees associated with the rental transaction. 4. Insurance and Liability 4.1 Vendors: Vendor shall maintain adequate insurance coverage for the Equipment, including but not limited to commercial general liability insurance and product liability insurance. 4.2 Vendors: Vendor shall be solely responsible for any and all claims, losses, damages, liabilities, costs and expenses (including attorneys’ fees) arising out of or relating to the rental of Equipment, including but not limited to claims for personal injury, property damage, or breach of contract. 4.3 SplitMyGear shall not be liable for any acts or omissions of Vendors or Renters. 5. Term and Termination 5.1 This Agreement shall commence on the date you click “I Agree” below and shall continue until terminated as provided herein. 5.2 This Agreement may be terminated by either party upon 30 days written notice to the other party. 5.3 This Agreement may be terminated immediately by either party upon written notice to the other party if the other party breaches any material provision of this Agreement and fails to cure such breach within 10 days after written notice of such breach. 5.4 Upon termination of this Agreement for any reason, Vendor shall promptly remove all Equipment listings from the Platform. 6. Disclaimer of Warranties 6.1 SplitMyGear makes no warranties, express or implied, with respect to the Platform or the services provided hereunder, including but not limited to any warranties of merchantability, fitness for a particular purpose, or non-infringement. 6.2 SplitMyGear does not guarantee the availability or quality of any Equipment listed on the Platform. 7. Limitation of Liability 7.1 In no event shall SplitMyGear be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or relating to this Agreement or the use of the Platform, even if SplitMyGear has been advised of the possibility of such damages. 8. Indemnification 8.1 User agrees to indemnify and hold harmless SplitMyGear and its officers, directors, employees, and agents from and against any and all claims, losses, damages, liabilities, costs and expenses (including attorneys’ fees) arising out of or relating to User’s use of the Platform, User’s Equipment (if applicable), or User’s breach of this Agreement. 9. Governing Law and Dispute Resolution 9.1 This Agreement shall be governed by and construed in accordance with the laws of the State of Minnesota. 10. Entire Agreement 10.1 This Agreement constitutes the entire agreement and understanding between the parties with respect to the subject matter hereof and supersedes all prior or contemporaneous communications, representations, or agreements, whether oral or written. 11. Amendments 11.1 This Agreement may be amended only by a writing posted to the Platform or otherwise provided to User, and shall be effective upon posting or as otherwise specified in such writing. 12. Waiver 12.1 No waiver of any provision of this Agreement shall be effective unless in writing and signed by the waiving party. 13. Severability 13.1 If any provision of this Agreement is held to be invalid or unenforceable, such provision shall be struck from this Agreement and the remaining provisions shall remain in full force and effect. 14. Counterparts 14.1 This Agreement may be executed in one or more counterparts, each of which shall be deemed an original, but all of which together shall constitute one and the same instrument. 15. Electronic Acceptance 15.1 By clicking “I Agree” below, User acknowledges that it has read, understood, and agrees to be bound by all the terms and conditions of this Agreement. Exhibit A – Commission Schedule The commission charged by SplitMyGear on each rental transaction will be at the sole discretion of SplitMyGear, unless otherwise agreed upon in writing between SplitMyGear and the Vendor. SplitMyGear may modify its commission structure at any time, with or without notice to the Vendor. Any changes to the commission schedule will be posted on the Platform or otherwise communicated to the Vendor. Vendors can inquire about specific commission rates by contacting SplitMyGear at support@splitmygear.com. SplitMyGear may offer special commission rates or promotions to specific Vendors or for specific types of Equipment. Such special rates or promotions will be communicated to the Vendor in writing.
